3. Engagements and Payments

All payments for services are processed through secure third-party payment providers, such as Stripe or QuickBooks.

By engaging with Make Plain, you agree to the service scope, cost, payment terms, and any applicable taxes or fees. Some engagements may require deposits or milestone-based payments.

Failure to pay may result in service interruption or termination.

4. Cancellations and Refunds

Cancellations must be made in writing. Refunds are evaluated on a case-by-case basis and are not guaranteed once work has begun or deliverables have been shared.

Recurring services (e.g., monthly support) require 14 days’ notice prior to cancellation.

5. Scope of Responsibility

Make Plain provides digital infrastructure, consulting, and technical solutions based on information provided by the client. We are not liable for outcomes based on inaccurate client data, third-party platform changes, or misused tools after delivery.

Clients are responsible for using services or systems properly after hand-off.

6. Client Responsibilities

Clients agree to:

  • Provide accurate and timely information necessary for project execution.
  • Adhere to mutually agreed timelines and approval processes.
  • Avoid using delivered assets in illegal or harmful ways.
7. Service Provider Responsibilities

Make Plain agrees to:

  • Deliver services as outlined in the agreed scope of work.
  • Maintain professionalism, clear communication, and data security.
  • Recommend best practices tailored to the client’s business model and goals.
8. Intellectual Property

Unless otherwise agreed upon, any custom software, copy, media, or deliverables created by Make Plain remain the intellectual property of Make Plain until full payment is received.

We may showcase completed work in our portfolio unless otherwise requested in writing.

9. Privacy & Data Use

We handle your data responsibly and securely.

Information We May Collect:

  • Contact info, business details, login credentials (as provided), and analytics data.
  • Device and usage information for troubleshooting and performance optimization.

How We Use It:

  • To manage your project and deliver services.
  • To provide ongoing support or platform updates.
  • To improve our internal processes and client experience.

We do not sell your personal or business data.

10. Dispute Resolution

In the event of a dispute, we’ll first attempt to resolve the issue through direct communication. If unresolved, disputes will be handled via binding arbitration in the State of Florida, waiving the right to jury trial or class action.

11. Prohibited Activities

You agree not to:

  • Misrepresent your business, users, or data.
  • Resell our services or templates without permission.
  • Copy or reverse-engineer proprietary systems.
  • Harass or abuse our team.
12. Force Majeure

Make Plain is not liable for service interruptions due to events beyond our control, including but not limited to power outages, internet disruptions, platform failures, natural disasters, or governmental restrictions.

13. Platform Modifications

We may update or change our website, tools, or policies at any time. Continued use of our services after updates constitutes acceptance of those changes.

14. Termination

We reserve the right to suspend or terminate services for non-payment, breach of agreement, or misuse of our tools or resources.

Clients may also terminate ongoing services with appropriate notice as outlined in individual agreements.

15. Limitation of Liability

Make Plain shall not be liable for indirect, incidental, or consequential damages arising from use of our services, reliance on deliverables, or integration with third-party platforms.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.
